The following Terms & Conditions govern the business relationship between it-soft GmbH and its customers.
1. Scope
These Terms & Conditions apply to all services provided by it-soft GmbH, including software development, consulting, hosting, cloud services, managed services, AI solutions and digital platforms.
2. Services
The scope of services is defined by the individual offer, service description, order confirmation or written agreement.
it-soft GmbH may use qualified subcontractors and technology partners for the provision of services where appropriate.
3. Contract Formation
A contract becomes effective upon written confirmation, signed agreement or commencement of service delivery.
4. Customer Responsibilities
- Provide accurate and complete information.
- Use services only for lawful purposes.
- Protect access credentials and passwords.
- Comply with applicable laws and regulations.
5. Intellectual Property
Unless otherwise agreed in writing, all intellectual property rights remain with the respective owner.
Custom-developed software may be licensed or transferred according to the individual project agreement.
6. Hosting & Cloud Services
Hosting and cloud services are provided according to the agreed service specifications and service levels.
Customers are responsible for maintaining backups unless a managed backup service has been explicitly agreed.
7. Payment Terms
Invoices are payable according to the payment terms stated on the invoice.
In case of overdue payments, it-soft GmbH reserves the right to suspend services after prior notice.
8. Limitation of Liability
it-soft GmbH shall be liable without limitation for damages caused by intentional misconduct or gross negligence.
For ordinary negligence, liability is limited to foreseeable damages typically arising from the contractual relationship.
Liability for indirect damages, loss of profit or consequential damages is excluded unless required by law.
9. Data Protection
Personal data is processed in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR).

10. Confidentiality
Both parties agree to treat confidential business and technical information received during the course of the business relationship as confidential.
11. Force Majeure
Neither party shall be liable for delays or failures caused by events beyond reasonable control, including natural disasters, governmental actions, network outages or other force majeure events.
12. Governing Law
All agreements shall be governed exclusively by the laws of the Federal Republic of Germany.
The place of jurisdiction, where legally permissible, shall be Munich, Germany.
